These Terms and Conditions ("Terms") govern the use of the VAYA-BRANDS website, mobile platform, and participation in the VAYA-BRANDS brand-wrapped vehicle advertising program ("The Service"). By accessing the platform or participating as a Driver or Client, you agree to be bound by these Terms.

1. DEFINITIONS

  • "VAYA-BRANDS" / "We" / "Us" / "The Company" – The administrative body managing client acquisition, branding, monitoring, and driver payments.
  • "Clean x Enterprise Pty Ltd" – A master company registered as per CIPC as a company in South Africa and Tax compliant as per South African Revenue Services (SARS).
  • "Driver" – Any individual or company participating by allowing their vehicle(s) to display client branding.
  • "Client" – Any business purchasing advertising space on vehicles through VAYA-BRANDS.
  • "Platform" – Website, dashboard, mobile interface, and all digital tools provided.
  • "Campaign" – A paid advertising period where branded vehicles must drive to accumulate compensated kilometers.

2. ELIGIBILITY

2.1 Drivers

To participate, Drivers must:

  • Be South African residents with a legally registered vehicle.
  • Hold a valid driver's license.
  • Maintain their vehicle in a clean and roadworthy condition.
  • Consent to having their vehicle wrapped or partially branded.

2.2 Clients

Clients must:

  • Provide accurate business information.
  • Supply approved artwork and branding material.
  • Pay campaign fees as per agreed quotation or invoice.

3. SERVICE DESCRIPTION

VAYA-BRANDS provides:

  • Client sourcing and onboarding
  • Vehicle branding (full or partial wraps)
  • Driver onboarding and verification
  • Kilometer tracking and driver claim submissions
  • Monthly reporting and invoicing to clients
  • Driver compensation based on kilometers driven

4. PRICING & PAYMENTS

4.1 Wrap Costs

  • Full-body wrap: R15,000.00 (costs borne by our company).
  • Partial wrap pricing will vary based on coverage.

4.2 Campaign Billing

Clients are billed according to wrap type selected by the Driver:

  • Full body: R10.00 per kilometer
  • Other wrap types are billed on a per-km rate agreed separately and documented in the client contract.

4.3 Driver Payments

  • Drivers submit monthly claims via the platform (speedometer photo + vehicle side photos).
  • Payments are made after verification, typically within 7–14 business days.
  • Fraudulent submissions will result in termination and possible legal consequences.

5. DRIVER RESPONSIBILITIES

Drivers agree to:

  • Drive normally and not excessively increase mileage for financial gain.
  • Keep branding clean and intact.
  • Report damage, peeling, or vandalism within 24 hours.
  • Not engage in reckless, dangerous, or illegal behavior while the vehicle displays branding.
  • Not modify the wrap without written approval.

VAYA-BRANDS reserves the right to remove any Driver who fails compliance.

6. CLIENT RESPONSIBILITIES

Clients agree to:

  • Provide correct artwork meeting branding standards.
  • Approve final wrap design before installation.
  • Pay invoices as per specified timelines.
  • Not request illegal, offensive, or misleading advertising.

7. PLATFORM USAGE

Users agree to:

  • Provide accurate personal and vehicle information.
  • Not misuse the platform through fraud, hacking, or inappropriate behavior.
  • Use the dashboard only for its intended purpose (claims, campaign management, reporting).

8. TERM & TERMINATION

VAYA-BRANDS may terminate participation if:

  • The Driver submits fraudulent mileage.
  • The Client fails to pay invoices.
  • The Driver or Client engages in misconduct, illegal activity, or reputational damage.

Either party may cancel a campaign with 30 days written notice, unless otherwise contractually agreed.

9. LIABILITY & INDEMNITY

VAYA-BRANDS is not liable for:

  • Vehicle damage unrelated to the wrap installation.
  • Accidents, traffic fines, insurance issues, or injuries involving Drivers.
  • Losses caused by third-party service providers.

Clients and Drivers indemnify VAYA-BRANDS against claims arising from misuse or misconduct.

10. INTELLECTUAL PROPERTY

  • All website content, branding, UI/UX design, and administrative systems remain the property of VAYA-BRANDS, a subsidiary of CLEAN X ENTERPRISE PTY LTD.
  • Client logos remain the property of the Client.

11. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.
